Terms & Conditions
Welcome to SoFlo Motorcycles. These Terms of Service (“Terms”) are a binding agreement between you and 914Digital, operating as SoFlo Motorcycles (“SoFlo Motorcycles,” “we,” “us,” or “our”), governing your use of soflomotorcycles.com and any related services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.
1. The Service
SoFlo Motorcycles is an online directory of motorcycle-related businesses, events, routes, and content in South Florida. The Service is free for general visitors to browse. Business owners may claim their listings, manage their information, and optionally subscribe to a paid Featured plan for enhanced placement.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
2. Listings
Where listings come from
Listings on the Service are compiled from publicly available business information, including business directories, mapping services, and other public sources. We do not require businesses to take any action to be listed.
Accuracy
We make reasonable efforts to keep listing information accurate, but we make no warranty as to the accuracy, completeness, or currency of any listing. Hours, contact information, services offered, and other details can change without our knowledge.
You should always verify business information directly with the business before making travel plans, purchases, or other commitments based on a listing.
Listing of your business
If you are the owner or authorized representative of a business listed on the Service, you may:
- Claim your listing to manage its content. Claim requests are reviewed for legitimacy before being approved.
- Subscribe to a Featured plan for enhanced visibility and additional features.
- Request removal of your listing by emailing hello@soflomotorcycles.com. We will honor reasonable removal requests within 30 days.
We reserve the right to remove, modify, or refuse to publish any listing at our discretion.
3. User Accounts
To claim a listing or subscribe to a Featured plan, you must create a user account.
You agree to:
- Provide accurate, current, and complete information during registration and to update it as needed
- Maintain the security of your account password and not share it with anyone
- Be at least 18 years old
- Be responsible for all activity that occurs under your account
- Notify us immediately of any unauthorized access to your account
We may suspend or terminate your account for any violation of these Terms, suspected fraud, or other conduct we determine to be harmful to the Service or other users.
4. Featured Plan and Payments
Pricing
The Featured plan is offered at $39 per month or $390 per year (a savings versus monthly). Pricing is subject to change with at least 30 days’ notice to current subscribers.
Auto-renewal
Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current price, until canceled. Your payment method on file will be charged automatically.
Cancellation
You may cancel your subscription at any time by contacting us at hello@soflomotorcycles.com or, when available, through your account dashboard. Cancellation takes effect at the end of your current billing period. Your listing will revert to the standard (free) tier at that time.
Refunds
Subscription fees are non-refundable. Canceling stops future billing but does not refund the current billing period. We do not provide prorated refunds for partial-month or partial-year cancellations.
Exceptions may be made at our sole discretion in cases of billing errors, duplicate charges, or technical failures that prevented access to the Service.
Payment processing
All payments are processed by Stripe. By providing payment information, you authorize us (and Stripe) to charge the payment method you provide for all applicable fees. You agree to Stripe’s terms of service in addition to ours.
Failed payments
If a payment fails (expired card, insufficient funds, etc.), we’ll attempt to charge again. If payment continues to fail, your Featured plan may be suspended or downgraded.
5. Acceptable Use
When using the Service, you agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Submit false, misleading, or fraudulent information (including in claim requests or contact forms)
- Impersonate any person, business, or entity, or misrepresent your affiliation
- Submit content that is defamatory, harassing, threatening, obscene, or otherwise objectionable
- Submit content that infringes anyone’s intellectual property, privacy, or other rights
- Scrape, crawl, or otherwise harvest information from the Service through automated means without our written permission
- Interfere with the Service’s normal operation (denial-of-service attacks, attempts to bypass security, etc.)
- Use the Service to send unsolicited commercial communications (spam)
- Resell or commercially exploit the Service without our written permission
We may remove content and suspend or terminate accounts that violate these rules.
6. User-Submitted Content
When you submit content to the Service — including claim requests, contact form messages, listing information (if you’ve claimed a listing), or other materials — you represent that you have the right to submit that content and that it does not violate any third party’s rights.
You grant SoFlo Motorcycles a non-exclusive, worldwide, royalty-free license to use, display, modify, and distribute the content you submit, solely for the purpose of operating, improving, and promoting the Service.
You retain ownership of your content.
7. Intellectual Property
The Service — including its design, code, text, graphics, logos, and the SoFlo Motorcycles name — is owned by 914 Digital LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from the Service without our written permission, except as necessary to use the Service in the normal course.
Business names, logos, and other trademarks of businesses listed on the Service belong to their respective owners.
8. Third-Party Links and Businesses
The Service contains links to third-party websites and lists businesses operated by third parties. We are not responsible for the content, accuracy, products, services, or practices of any third party. Your interactions with any third-party business found through the Service are solely between you and that business.
Listing of a business on the Service is not an endorsement. We do not verify the quality, safety, legality, or qualifications of any business listed.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy or completeness of any information on the Service, including business listings.
Some jurisdictions don’t allow the exclusion of certain warranties, so some of the above may not apply to you.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOFLO MOTORCYCLES, 914 DIGITAL LLC, OR ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions don’t allow these limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless SoFlo Motorcycles, 914 Digital LLC, and their owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party’s rights.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination:
- Your right to use the Service immediately ends
- Any active subscriptions will be canceled (refunds are not provided)
- Sections of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, limitations of liability, and indemnification)
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any legal action or proceeding arising from these Terms or your use of the Service must be brought in a state or federal court located in Florida, and you consent to the personal jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we’ll update the “Last Updated” date at the top. Significant changes will be communicated by email (to registered users) or by a prominent notice on the Service. Continued use of the Service after changes take effect means you accept the updated Terms.
15. Miscellaneous
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Service.
Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not transfer your rights or obligations under these Terms. We may transfer ours.
